End User License Agreement

Effective: March 2026 · ELSI Holdings LLC

1. Agreement to Terms

By downloading, installing, or using the ergon application ("the App"), you agree to be bound by this End User License Agreement ("Agreement"). If you do not agree to these terms, do not download, install, or use the App.

This Agreement is between you ("User") and ELSI Holdings LLC ("Company," "we," "us," or "our"), the developer and publisher of the App.

This Agreement supplements (and where permitted, replaces) the standard End User License Agreement provided by Apple Inc. for apps distributed through the Apple App Store and the Google Play Terms of Service for apps distributed through the Google Play Store.

2. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a device you own or control, strictly in accordance with this Agreement and applicable app store terms.

All purchases are one-time, non-recurring payments processed through the Apple App Store or Google Play Store. We do not process payments directly.

4. Intellectual Property & Third-Party Content

4.1 Our Content

The App, including its original code, design, user interface, journal prompts, and original descriptions, is the intellectual property of ELSI Holdings LLC and is protected by applicable copyright and intellectual property laws.

4.2 Third-Party Referenced Content

The App references concepts and techniques from the following published works:

The App is not affiliated with, endorsed by, or officially connected to the authors, their representatives, or their publishers. All rights to the original works belong to their respective authors and publishers.

The App uses concept names (e.g., "Reversal of Desire," "Active Love," "The Maze") as descriptive references. All descriptions, summaries, and definitions in the App are written in our own words. Short quotes (1–2 sentences) are used with full attribution for descriptive and informational purposes.

4.3 User Content

Journal entries, personal notes, mood data, and custom glossary terms you create in the App ("User Content") are yours. We do not claim any ownership or license to your User Content. See Section 7 (Data Privacy) for how User Content is stored.

5. Mental Health Disclaimer

THE APP IS NOT A MEDICAL DEVICE, THERAPY TOOL, OR SUBSTITUTE FOR PROFESSIONAL MENTAL HEALTH TREATMENT.

The App provides a personal journaling and reflection experience based on concepts from published self-help books. It is designed for general wellness and personal growth purposes only.

You acknowledge that your use of the App is at your own discretion and risk. You should consult a qualified mental health professional for any mental health concerns.

Affirmative Acknowledgment: On first launch, users must affirmatively acknowledge this disclaimer by tapping "I Understand & Agree" before accessing the App. This acknowledgment is stored locally on the user's device.

6. Age Restriction

The App is intended for users aged 17 and older. By using the App, you confirm that you are at least 17 years of age. Users under the age of 17 may use the App only with the involvement and consent of a parent or legal guardian.

The App is not directed at, marketed to, or intended for children under 13. We do not knowingly collect any personal information from children under 13 or any user of any age — the App collects no data whatsoever (see Section 7: Data Privacy).

7. Data Privacy

7.1 Local Storage Only

All User Content (journal entries, mood tracking, personal notes, glossary additions) is stored exclusively on your device using on-device database technology (SwiftData/SQLite on iOS, Room/SQLite on Android). We do not operate servers that store your personal data.

7.2 No Data Collection

7.3 Optional Cloud Sync

If you enable iCloud sync (iOS) or cloud backup (Android), your data is synced using the platform provider's encrypted cloud infrastructure (Apple CloudKit or equivalent). This sync is opt-in, and we do not have access to your synced data.

7.4 Privacy Policy

A complete Privacy Policy is available at ergon.life/privacy. The Privacy Policy is incorporated into this Agreement by reference.

8. Donation Pledge

We pledge to donate 10% of gross in-app purchase revenue to mental health nonprofit organizations. At the time of purchase, you may select which organization receives the donation from our list of designated nonprofit organizations.

Important clarifications:

The donation pledge is a voluntary commitment by ELSI Holdings LLC. While we are committed to honoring this pledge, it does not create a legally binding obligation to any user or third party and may be modified or discontinued with notice posted on ergon.life.

State regulatory note: ELSI Holdings LLC's donation pledge may constitute a "commercial co-venture" under certain state charitable solicitation laws. Approximately 25 U.S. states regulate commercial co-ventures (for-profit companies that advertise that a purchase will benefit a charity). ELSI Holdings LLC will comply with applicable state registration and disclosure requirements as revenue grows. Texas, where ELSI Holdings LLC is registered, has limited charitable solicitation requirements that do not apply to commercial co-ventures of this nature.

9. Limitation of Liability

You agree to indemnify and hold harmless ELSI Holdings LLC, its owners, officers, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

We may terminate or suspend your access to the App at any time, without notice, for conduct that we believe violates this Agreement or is harmful to other users, us, or third parties. Upon termination, your license to use the App is revoked. Your User Content remains on your device and is not affected by termination.

12. Changes to This Agreement

We reserve the right to modify this Agreement at any time. Changes will be posted at ergon.life/eula and, where feasible, notified within the App. Your continued use of the App after changes are posted constitutes acceptance of the revised terms.

13. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any disputes arising under this Agreement shall be resolved through binding arbitration administered in Williamson County, Texas, in accordance with the rules of the American Arbitration Association (AAA). The arbitrator's decision shall be final and binding. Each party shall bear its own costs and fees associated with the arbitration.

14. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

15. Entire Agreement

This Agreement, together with the Privacy Policy, the Apple-Required Provisions (Section 16), and applicable app store terms, constitutes the entire agreement between you and ELSI Holdings LLC regarding your use of the App and supersedes all prior agreements and understandings.

16. Apple-Required Provisions

The following provisions are required by Apple Inc. for custom End User License Agreements for apps distributed through the Apple App Store:

16.1 Acknowledgment

You and ELSI Holdings LLC acknowledge that this Agreement is between you and ELSI Holdings LLC only, and not with Apple Inc. ("Apple"). ELSI Holdings LLC, not Apple, is solely responsible for the App and its content.

16.2 Scope of License

The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms of Service.

16.3 Maintenance and Support

ELSI Holdings LLC is solely responsible for providing any maintenance and support services with respect to the App. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

16.4 Warranty

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.

16.5 Product Claims

ELSI Holdings LLC, not Apple, is responsible for addressing any claims relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims, (b) any claim that the App fails to conform to any applicable legal or regulatory requirement, and (c) claims arising under consumer protection, privacy, or similar legislation.

16.6 Intellectual Property Claims

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, ELSI Holdings LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

16.7 Third-Party Beneficiary

You and ELSI Holdings LLC acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
